3. Payment Terms

2. Payment Schedule: Payments may be due upfront, in installments, or upon completion, as specified in the agreement.
3. Late Payments: Delays in payment may result in a pause or termination of services. Interest or penalties may apply.
4. Refund Policy: Payments are non-refundable except under conditions explicitly stated in the service agreement.

4. Intellectual Property Rights

1. Ownership: Upon full payment, clients own the final deliverables. Drafts, templates, and proprietary materials remain the property of iCr8tiv Solutions.
2. Use of Content: iCr8tiv Solutions reserves the right to feature completed projects in portfolios or marketing materials unless otherwise agreed.
3. Third-Party Assets: Clients are responsible for acquiring licenses for third-party assets unless specified otherwise.

5. Service Delivery and Timelines

1. Project Timelines: iCr8tiv Solutions will adhere to agreed-upon timelines. Delays due to client actions or approvals may affect delivery.
2. Revisions: Clients are entitled to 3 revisions per project phase. Additional changes may incur extra costs.
3. Force Majeure: Delays caused by events outside our control (e.g., natural disasters, internet outages) are not the responsibility of iCr8tiv Solutions.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business strategies, marketing plans, and financial data.

7. Limitation of Liability

iCr8tiv Solutions will not be held liable for:

1. Loss of revenue or profits due to the use or inability to use our services.
2. Third-party errors, service interruptions, or data breaches.
3. Non-compliance with advertising regulations resulting from client-provided materials.

8. Termination of Services

1. By the Client: Services can be terminated with written notice, subject to applicable cancellation fees.
2. By iCr8tiv Solutions: We reserve the right to terminate services for non-payment, breach of contract, or misuse of services.

9. Data and Privacy

We handle personal data in accordance with our Privacy policy. Clients are responsible for ensuring compliance with data protection laws relevant to their audience or region.

10. Marketing Campaigns and Ads

1. Performance Disclaimer: Marketing campaigns may be influenced by factors outside our control, such as platform algorithms and market conditions. We do not guarantee specific outcomes.
2. Ad Spend: Clients are responsible for ad budgets unless otherwise specified.

11. Governing Law and Jurisdiction

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes will be resolved in the courts of Lagos State, Nigeria.

12. Changes to Terms
